TERMS AND CONDITIONS OF USE

1. Scope of Application

These Terms and Conditions (the "Terms") govern access to and use of Trial Sergeant, a digital platform owned and operated by Trial Sergeant, a product of Arthur D. Little ("ADL"), made available globally as a free, web-based platform (the "Service").

By accessing or using Trial Sergeant, you (the "User") agree to be bound by these Terms. If you do not agree, you must not use the Service.

Trial Sergeant is provided as a standalone digital tool. No consulting, advisory, or professional services are provided unless explicitly agreed in a separate written agreement.

2. Description of the Service

Trial Sergeant is a clinical trial design and analysis platform intended to help users:

  • Structure and visualize schedules of assessments;
  • Standardize and analyze clinical trial procedures;
  • Assess and compare patient burden;
  • Generate comparative insights versus typical standards of care;
  • Explore potential optimization opportunities.

The Service is informational and analytical only. It does not replace clinical judgment, regulatory review, medical advice, or operational decision-making.

Trial Sergeant sends one-time passcodes (OTP) via SMS to verify user identity during login or registration.

  • Message Frequency: Message frequency varies based on user activity (typically 1 message per login attempt).
  • Customer Care: You can reply HELP for help or contact us at support@trialsergeant.com.
  • Opt-out: You can reply STOP to unsubscribe at any time.
  • Rates: Message and data rates may apply.
  • Carrier Disclaimer: Mobile carriers are not liable for delayed or undelivered messages.

3. Access and Use

Trial Sergeant is currently offered free of charge and may be accessed globally, subject to applicable laws and regulations.

ADL reserves the right to:

  • Modify, suspend, or discontinue the Service at any time;
  • Introduce usage limits, feature restrictions, or future pricing models with prior notice.

Users must:

  • Use the Service only for lawful purposes;
  • Ensure that any data uploaded does not violate confidentiality, data protection, or third-party rights;
  • Refrain from attempting to reverse engineer, disrupt, or misuse the platform.

4. User Content and Responsibilities

Users may upload documents, protocols, schedules, or other materials ("User Content").

The User represents and warrants that:

  • They have the right to upload and use such content;
  • The content does not contain unlawful, misleading, or infringing material;
  • Any personal data included is processed in compliance with applicable data protection laws.

The User remains solely responsible for the accuracy, completeness, and appropriateness of all User Content and any conclusions drawn from the Service outputs.

5. Outputs, Analytics, and Limitations

All tables, metrics, comparisons, or analytics generated by Trial Sergeant:

  • Are automatically generated based on user-provided inputs and predefined logic;
  • May include assumptions, inferences, or conservative estimates;
  • Are provided "as is" for informational purposes only.

Trial Sergeant does not guarantee:

  • Clinical validity;
  • Regulatory acceptance;
  • Operational feasibility;
  • Accuracy of inferred standard-of-care assumptions.

Users must independently validate outputs before relying on them in any clinical, regulatory, or commercial context.

6. Intellectual Property

All intellectual property rights in Trial Sergeant, including software, algorithms, interfaces, trademarks, and documentation, are owned by or licensed to ADL.

Users retain ownership of their User Content. By uploading content, Users grant ADL a non-exclusive, royalty-free, worldwide license to process such content solely for the purpose of providing the Service.

No rights are granted to Users beyond those expressly stated in these Terms.

7. Confidentiality

ADL will treat User Content as confidential and will not disclose it to third parties except:

  • As required by law;
  • To operate, maintain, or secure the Service;
  • In anonymized or aggregated form.

Users are responsible for ensuring that confidential or proprietary information is uploaded only where appropriate.

8. Data Protection

Where Trial Sergeant processes personal data, it does so in accordance with applicable data protection laws, including the GDPR where relevant.

Users must ensure they have a lawful basis to upload any personal data. Trial Sergeant is not intended for storage of sensitive personal data unless expressly stated.

If required, the parties may enter into a separate data processing agreement.

9. No Warranties

Trial Sergeant is provided "as is" and "as available", without warranties of any kind, whether express or implied, including but not limited to:

  • Fitness for a particular purpose;
  • Non-infringement;
  • Accuracy or completeness of outputs.

10. Limitation of Liability

To the maximum extent permitted by law, ADL shall not be liable for:

  • Any indirect, incidental, consequential, or special damages;
  • Loss of data, profits, or business opportunities;
  • Decisions made based on outputs generated by the Service.

Use of Trial Sergeant is at the User’s sole risk.

11. Termination

ADL may suspend or terminate access to Trial Sergeant at any time if these Terms are breached or if continued access poses legal or security risks.

Users may discontinue use of the Service at any time.

12. Amendments

ADL may update these Terms from time to time. Updated versions will be made available through the platform. Continued use constitutes acceptance of the revised Terms.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of Spain, unless mandatory local consumer protection laws apply otherwise.

Any disputes shall be subject to the exclusive jurisdiction of the courts of Madrid, Spain.
